PLEASE READ THESE TERMS AND CONDITIONS OF USE ("TERMS") CAREFULLY. THESE TERMS GOVERN YOUR ACCESS TO AND USE OF THE SERVICES AND PLATFORM PROVIDED BY PRESCRIBEY, INC. D/B/A RIGHTWELL ("RIGHTWELL," "WE," "US," OR "OUR").

These Terms apply to:

RightWell.com and associated RightWell websites and patient-facing portals (collectively, the "Websites"); and
The services made available through the Websites (the "Services").

The Websites and RightWell's non-clinical business, technology, administrative, coordination, and support services are collectively referred to as the "Platform."

By creating an account, beginning an intake, purchasing Services, accessing the Platform, or otherwise using the Platform, you acknowledge that you have read, understand, and agree to these Terms and our Privacy Policy.

If you do not agree, you must not access or use the Platform or Services.

IMPORTANT NOTICE REGARDING MEDICAL SERVICES

RIGHTWELL IS NOT A MEDICAL GROUP AND DOES NOT PRACTICE MEDICINE.

RightWell is a technology-enabled healthcare services company that provides non-clinical administrative and technology services designed to facilitate access to independent healthcare professionals.

RightWell may provide or facilitate services including:

Patient onboarding;
Collection and transmission of patient information;
Scheduling;
Payment processing and coordination;
Customer support;
Telehealth technology;
Prescription-routing technology;
Pharmacy coordination;
Laboratory coordination;
Fulfillment coordination; and
Other non-clinical administrative services.

RightWell currently utilizes CareValidate and/or other technology and administrative service providers to support certain components of the Platform, including patient onboarding, healthcare-provider workflows, telehealth functionality, healthcare information exchange, prescription-related workflows, and other technology or administrative functions.

CareValidate and other technology providers are independent third-party service providers. Their specific functions may change over time.

RightWell may add, replace, or discontinue technology vendors, administrative service providers, medical groups, pharmacies, laboratories, or other third-party service providers without requiring an amendment to these Terms, provided such changes are made in accordance with applicable law.

Clinical services available through the Platform are provided by independent licensed healthcare professionals and/or independent professional medical entities (collectively, the "Practice" and/or "Providers").

There is no healthcare provider called "RightWell."

RightWell does not employ, control, or direct Providers in their exercise of independent medical judgment.

BINDING ARBITRATION NOTICE

THESE TERMS CONTAIN A BINDING ARBITRATION AGREEMENT AND CLASS-ACTION WAIVER.

Except where prohibited by applicable law, disputes between you and RightWell arising from or relating to these Terms, the Platform, or Services are subject to individual binding arbitration as described below.

PLEASE REVIEW THE DISPUTE RESOLUTION AND ARBITRATION SECTION CAREFULLY.

1. SERVICES PROVIDED — NO MEDICAL CARE OR ADVICE BY RIGHTWELL

RightWell does not provide medical advice, diagnosis, medical care, or treatment.

Any medical consultation, diagnosis, prescription, treatment recommendation, or other clinical service obtained through the Platform is provided by an independent Provider.

Providers exercise independent professional judgment.

RightWell does not determine:

Whether you qualify for treatment;
Whether medication should be prescribed;
Which medication should be prescribed;
Medication dosage;
Treatment duration;
Whether laboratory testing is medically necessary; or
Whether treatment should be continued, modified, or discontinued.

Those decisions are made exclusively by the applicable Provider.

The Provider-patient relationship exists between you and your treating Provider, not between you and RightWell.

The Services are not intended to replace your relationship with a local primary-care physician. You should maintain an appropriate relationship with a primary-care provider and other healthcare professionals for your ongoing healthcare needs.

2. CAREVALIDATE AND OTHER TECHNOLOGY PROVIDERS

RightWell may utilize CareValidate to provide technology and administrative infrastructure supporting portions of the patient experience and healthcare-provider workflow.

Depending upon the particular Service, CareValidate or other vendors may facilitate functionality such as:

Patient registration;
Patient intake;
Identity verification;
Medical questionnaires;
Patient communications;
Provider communications;
Telehealth encounters;
Healthcare records;
Prescription-related workflows;
Pharmacy coordination;
Laboratory coordination;
Payment or transaction-related functionality; and
Other technology or administrative services.

Use of CareValidate or another technology platform does not mean that CareValidate or RightWell is your healthcare provider.

Clinical services are provided by the applicable independent Provider or Practice.

You may also be subject to additional privacy notices, informed consents, terms, or policies associated with the Provider, Practice, pharmacy, laboratory, CareValidate, or another service provider involved in your care.

3. NOT FOR EMERGENCIES

The Platform and Services are not intended for medical emergencies or urgent medical situations.

IF YOU BELIEVE YOU ARE EXPERIENCING A MEDICAL EMERGENCY, CALL 911 IMMEDIATELY OR GO TO THE NEAREST EMERGENCY DEPARTMENT.

Do not disregard or delay seeking medical attention because of information appearing—or not appearing—on the Platform.

Do not use RightWell customer service, email, SMS, or patient messaging for emergency medical needs.

4. TELEHEALTH RISKS

By using telehealth Services, you acknowledge that telehealth has benefits and limitations.

Potential risks include:

Information transmitted electronically may be incomplete or insufficient for appropriate medical decision-making;
Poor-quality photographs, video, or other information may limit a Provider's ability to evaluate you;
Technology failures may delay evaluation or treatment;
A Provider may not have access to all of your medical records;
Incomplete information may increase the possibility of medication interactions, allergic reactions, or other complications;
Electronic communications may experience security or privacy failures; and
A Provider may determine that an in-person examination is necessary.

You agree to provide complete and accurate information and to seek in-person care when instructed by a Provider.

5. PRIVACY PRACTICES

Information provided through the Platform is governed by the RightWell Privacy Policy and applicable law.

Health information used or maintained by an independent Provider or Practice may additionally be governed by that entity's Notice of Privacy Practices.

CareValidate and other technology providers may process information on behalf of RightWell, Providers, Practices, or other entities according to applicable contractual and legal requirements.

Where HIPAA applies, protected health information will be handled in accordance with applicable HIPAA requirements.

6. PRESCRIPTION PRACTICES

Certain treatments available through the Platform require a valid prescription from an appropriately licensed healthcare professional.

PURCHASING A SERVICE, PAYING A MEMBERSHIP FEE, OR COMPLETING A MEDICAL INTAKE DOES NOT GUARANTEE THAT YOU WILL RECEIVE A PRESCRIPTION.

A prescription may be issued only after a Provider determines, using independent medical judgment, that the treatment is medically appropriate.

A Provider may:

Approve treatment;
Decline treatment;
Request additional medical information;
Require laboratory testing;
Request identification;
Recommend an alternative treatment;
Require an in-person examination; or
Discontinue treatment.
You agree that prescription medications obtained through the Platform are solely for your personal use.

You will not sell, transfer, or share prescription medication with another person.

You agree to:

Use medication only as directed;
Read medication labels and accompanying information;
Store medication appropriately;
Keep medication away from children and unauthorized persons;
Contact your Provider or pharmacist with medication questions; and
Dispose of unused medications appropriately.

7. PHARMACY CHOICE AND FULFILLMENT

Prescription medications may be fulfilled by independent licensed pharmacies.

RightWell may facilitate the transmission of prescriptions and coordination with pharmacies but does not control the independent professional activities of a pharmacy.

When permitted by applicable law, you may have the right to request that a prescription be transmitted to a pharmacy of your choice.

Pharmacy availability, medication availability, formulations, fulfillment times, and shipping times may vary.

RightWell does not guarantee that any particular pharmacy, medication, formulation, or dosage will remain available.

8. NOT AN INSURANCE PRODUCT

RightWell is not an insurance company and does not offer health insurance.

Amounts paid for RightWell Services are not insurance premiums.

Unless expressly stated otherwise, Services are provided on a self-pay basis.

9. SELF-PAY AGREEMENT

By purchasing Services through the Platform, you acknowledge that you are electing to obtain the applicable Services on a self-pay basis.

You understand that:

RightWell and/or participating Providers may not participate with your health insurance plan;
Services may not be covered by insurance;
You are responsible for determining your insurance benefits;
RightWell does not guarantee reimbursement from an insurance company; and
You are financially responsible for amounts disclosed to you in connection with your purchase.
Your health insurance policy is an agreement between you and your insurer.

RightWell is not responsible for determining whether a particular Service would be covered if obtained elsewhere.

10. OWNERSHIP OF THE PLATFORM

The Platform contains proprietary information and materials, including:

Software;
Text;
Graphics;
Designs;
Images;
Videos;
Audio;
Databases;
Processes;
Methodologies;
Trademarks;
Logos;
Service marks; and
Other content.

Such materials are owned by RightWell, its licensors, or other applicable owners and are protected by intellectual-property laws.

You may use the Platform solely for your personal, non-commercial use.

You may not reproduce, distribute, modify, republish, sell, license, scrape, commercially exploit, or create derivative works from Platform content without written authorization.

11. AVAILABILITY OF SERVICES

RightWell operates subject to federal and state healthcare requirements.

Services may not be available in every state.

You may use healthcare Services only when physically located in a jurisdiction in which the applicable Provider is authorized to provide those Services.

RightWell may change the geographic availability of Services.

12. USERS MUST BE 18 OR OLDER

Unless RightWell expressly offers a particular Service to minors in compliance with applicable law, you must be at least 18 years old to establish an account and use the Services.

By using the Services, you represent that you meet applicable eligibility requirements.

13. ACCOUNT SECURITY

You agree to provide accurate, complete, and current registration information.

You are responsible for protecting your username, password, and account credentials.

You may not permit another individual to use your account to obtain medical services.

You must notify RightWell promptly if you believe your account has been compromised.

14. ACCURACY OF INFORMATION

You agree to provide truthful, accurate, complete, and current information.

This requirement is particularly important for medical information, including:

Medical history;
Allergies;
Medications;
Diagnoses;
Symptoms;
Height;
Weight;
Laboratory results; and
Other information requested by Providers.

Providing false or incomplete medical information can result in inappropriate treatment and may cause serious harm.

15. ONLINE PAYMENTS

You may pay for Services through the Platform.

RightWell may act as a payment and collection agent in connection with amounts owed for:

RightWell Services;
Provider services;
Pharmacy services;
Laboratory services; and
Other authorized services.

RightWell may collect applicable amounts and allocate or remit payments to the appropriate service providers.

By submitting payment information, you represent that:

The payment information is accurate;
You are authorized to use the payment method;
Charges authorized by you may be submitted for payment; and
You are responsible for authorized charges, applicable taxes, and other disclosed amounts.

RightWell may use third-party payment processors.

16. SUBSCRIPTION AND AUTOMATIC-RENEWAL TERMS

Certain RightWell Services may be offered through recurring memberships or subscriptions.

BY ENROLLING IN A RECURRING RIGHTWELL PROGRAM, YOU EXPRESSLY AUTHORIZE RIGHTWELL AND/OR ITS PAYMENT PROCESSORS TO CHARGE YOUR DESIGNATED PAYMENT METHOD AUTOMATICALLY AT THE BILLING INTERVAL DISCLOSED TO YOU DURING ENROLLMENT UNTIL YOU CANCEL.

Where a program bills every four weeks, you authorize recurring charges approximately every four (4) weeks.

Your checkout or enrollment page will disclose the applicable price and billing frequency.

You may cancel your subscription before your next renewal through the cancellation method provided through the Platform or by contacting:

help@rightwell.com

Cancellation will stop future renewal charges but generally does not reverse charges already incurred, consultations already completed, prescriptions already processed, medications already submitted for fulfillment, or other Services already provided.

RightWell may change subscription pricing by providing notice as required by applicable law.

If you do not agree to a pricing change, you may cancel before the new price takes effect.

17. ACH AND PAYMENT AUTHORIZATION

If you authorize recurring ACH or electronic payments, you authorize RightWell, its payment processors, successors, assigns, agents, and service providers to initiate authorized electronic debits or charges against the payment account you designate.

You represent that:

The account is legitimate and active;
You are authorized to use the account; and
The information you provide is accurate.

This authorization remains effective until withdrawn in accordance with the cancellation procedures provided to you.

Nothing in these Terms limits rights you may have under applicable federal law or payment-network rules.

18. PURCHASE ACCEPTANCE

RightWell reserves the right to refuse or cancel a transaction when reasonably necessary, including because of:

Pricing errors;
Product or Service availability;
Fraud concerns;
Payment authorization problems;
Identity-verification issues;
Regulatory requirements; or
Medical eligibility determinations.

If RightWell cancels a purchase after collecting an amount that is refundable, the applicable refundable amount will be returned according to RightWell's refund procedures.

19. RIGHTWELL 10% WEIGHT LOSS GUARANTEE

RightWell stands behind the structure of its eligible GLP-1 weight-management programs.

Subject to the requirements below, if an eligible new patient follows the applicable RightWell GLP-1 treatment program and does not lose at least 10% of their documented starting body weight within four months, RightWell will refund qualifying RightWell membership fees paid during the first four months.

What the Guarantee Covers

If approved, the guarantee provides a refund of qualifying RightWell membership fees paid during the first four months.

The guarantee does not include:

Medication costs;
Pharmacy charges;
Shipping charges;
Laboratory testing; or
Other third-party services.

Eligibility Requirements

To qualify, you must satisfy all applicable requirements, including:

You are a first-time RightWell patient participating in an eligible GLP-1 program;
You submitted your starting weight during onboarding;
You followed your Provider-prescribed treatment plan consistently for the applicable 16-week period;
You did not use additional outside weight-loss medications or programs during the guarantee period; and
You did not achieve at least 10% weight loss from your verified starting weight.

Verification

A guarantee claim must be submitted to:

help@rightwell.com

within 14 days following completion of the applicable four-month period.

RightWell may require reasonable verification of your final weight, including either:

Provider Verification: Documentation from a licensed healthcare provider confirming your current weight.

Video Verification: A time-sensitive video verification following instructions supplied by RightWell, which may include showing a scale at zero, stepping onto the scale, displaying the resulting weight, and providing a unique verification code.

RightWell may review documentation reasonably necessary to confirm compliance with the guarantee.

Approved refunds will be processed according to the guarantee terms communicated to you.

If a Provider determines during initial clinical review that you are not medically eligible for the treatment you purchased, amounts eligible for refund will be handled in accordance with RightWell's applicable refund policy.

This guarantee is a commercial guarantee offered by RightWell. It does not influence or control a Provider's independent medical judgment.

20. CANCELLATIONS AND REFUNDS

Because healthcare Services and prescription medications may begin processing shortly after purchase, cancellation and refund eligibility varies.

Unless otherwise required by law:

Completed medical consultations may be non-refundable;
Services already performed may be non-refundable;
Prescription medications generally cannot be returned once dispensed;
Medication orders already submitted for pharmacy processing may not be cancellable;
Shipping fees may become non-refundable once shipment occurs; and
Third-party charges may be subject to the applicable third party's policies.
Nothing in these Terms restricts a consumer right that cannot lawfully be waived.

21. COMMUNICATIONS AND SMS CONSENT

By providing your contact information, you authorize RightWell and entities involved in providing your requested Services to communicate with you regarding your account and Services.

Communications may include:

Appointment reminders;
Account notifications;
Treatment-process communications;
Prescription updates;
Pharmacy updates;
Shipping information;
Billing notifications; and
Customer-service communications.

Where you consent to SMS communications, message and data rates may apply.

You may reply STOP to applicable text messages to opt out.

Withdrawing SMS consent may limit certain Platform functionality but will not prevent legally required or otherwise permitted communications through other channels.

Marketing communications will be subject to separate consent requirements where applicable.

22. CALL AND VIDEO RECORDINGS

Where permitted by law and following any legally required notice or consent, RightWell, its service providers, or Providers may record certain telephone, audio, or video interactions for purposes including:

Quality assurance;
Training;
Security;
Documentation; and
Improving Services.

Any recording involving health information will be handled according to applicable privacy requirements.

23. ELECTRONIC COMMUNICATIONS AND SIGNATURES

By using the Platform, you consent to electronic transactions, records, notices, disclosures, agreements, and signatures to the extent permitted by law.

You agree that electronic signatures may have the same legal effect as handwritten signatures.

You consent to receive documents electronically unless applicable law requires another form of delivery.

24. LINKS AND EXTERNAL SERVICES

The Platform may contain links to independent third-party websites or services.

RightWell does not control and is not responsible for the content, availability, security, privacy practices, or services of independent third parties.

Your use of third-party services may be governed by separate terms and privacy policies.

25. COPYRIGHT INFRINGEMENT — DMCA

RightWell respects intellectual-property rights.

RightWell has registered a designated agent with the U.S. Copyright Office pursuant to 17 U.S.C. § 512(c).

A copyright notice should contain the information required by applicable law, including identification of the copyrighted work, identification and location of the allegedly infringing material, contact information, required good-faith and accuracy statements, and the complainant's physical or electronic signature.

26. PROHIBITED USE

You may not:

Use the Platform unlawfully;
Commit or attempt fraud;
Misrepresent your identity;
Provide intentionally false medical information;
Attempt to obtain medication for another person;
Sell or distribute prescription medication;
Access another person's account;
Circumvent Platform security;
Probe or test Platform vulnerabilities without authorization;
Introduce malicious software;
Scrape or systematically extract Platform data without authorization;
Infringe intellectual-property rights; or
Interfere with Platform operation.

RightWell may suspend or terminate accounts associated with prohibited activity.

27. DISCLAIMER OF WARRANTIES

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE RIGHTWELL PLATFORM AND RIGHTWELL'S NON-CLINICAL SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."

RIGHTWELL DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, COMPLETELY SECURE, OR FREE FROM TECHNICAL DEFECTS.

RIGHTWELL DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT TO THE EXTENT PERMITTED BY LAW.

RIGHTWELL DOES NOT MAKE OR CONTROL INDEPENDENT CLINICAL DECISIONS MADE BY PROVIDERS.

28. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY LAW, PRESCRIBEY, INC., ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO THE PLATFORM OR RIGHTWELL'S NON-CLINICAL SERVICES.

TO THE EXTENT A LIMITATION OF LIABILITY IS PERMITTED BUT A COMPLETE EXCLUSION IS NOT, RIGHTWELL'S MAXIMUM AGGREGATE LIABILITY TO YOU ARISING FROM THE PLATFORM OR RIGHTWELL'S NON-CLINICAL SERVICES WILL NOT EXCEED $500.

Nothing in these Terms is intended to unlawfully limit liability for medical malpractice, gross negligence, willful misconduct, or another category of liability that cannot legally be limited.

29. INDEMNIFICATION

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Prescribey, Inc. and its affiliates from claims, liabilities, damages, losses, and reasonable costs arising from:

Your unlawful use of the Platform;
Your material breach of these Terms;
Fraudulent information knowingly supplied by you;
Your violation of another person's rights; or
Your unlawful or unauthorized use of Services.

30. FORCE MAJEURE

RightWell will not be liable for a failure or delay caused by circumstances beyond its reasonable control, including:

Natural disasters;
Fire;
Flood;
Severe weather;
Epidemics or pandemics;
War;
Terrorism;
Civil unrest;
Government actions;
Communications failures;
Carrier disruptions;
Supply-chain disruptions; or
Other events reasonably outside RightWell's control.

31. DISPUTE RESOLUTION AND BINDING ARBITRATION

RightWell encourages you to contact customer service first so that we can attempt to resolve concerns informally.

If a dispute cannot be resolved informally, you and RightWell agree that disputes arising out of or relating to these Terms, the Platform, or RightWell Services will be resolved through individual binding arbitration rather than a court proceeding, except where applicable law provides otherwise.

The Federal Arbitration Act governs the interpretation and enforcement of this arbitration agreement.

Notice of Dispute

Before commencing arbitration, the party asserting a claim must provide written notice describing:

The nature and basis of the dispute; and
The relief sought.

Notices to RightWell must be sent by certified mail to:

The parties will have 30 days following receipt of the notice to attempt to resolve the dispute.

Arbitration

If the dispute is not resolved, either party may commence arbitration through the American Arbitration Association ("AAA"), subject to the applicable AAA consumer arbitration rules and applicable law.

The arbitrator may award relief available to an individual party under applicable law.

CLASS-ACTION WAIVER

YOU AND RIGHTWELL AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR MEMBER OF ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION, EXCEPT TO THE EXTENT SUCH A WAIVER IS PROHIBITED BY APPLICABLE LAW.

The arbitrator may not consolidate claims of multiple individuals unless the parties agree or applicable law requires otherwise.

Small Claims

Either party may pursue an eligible individual claim in small-claims court rather than arbitration.

Jury-Trial Waiver

To the extent a dispute proceeds in court rather than arbitration and waiver is legally permitted, YOU AND RIGHTWELL WAIVE THE RIGHT TO A TRIAL BY JURY.

32. GOVERNING LAW

Except where federal law or another jurisdiction's mandatory law controls, these Terms and disputes concerning RightWell's non-clinical Services will be governed by the laws of the State of Wyoming, without regard to conflict-of-law principles.

Healthcare services may be governed by the laws of the jurisdiction in which the patient is located when care is provided.

33. NO THIRD-PARTY RIGHTS

Except where expressly stated, these Terms do not create enforceable rights for persons who are not parties to these Terms.

34. SEVERABILITY

If any provision of these Terms is determined to be invalid or unenforceable, that provision will be limited or severed to the minimum extent necessary, and the remaining provisions will continue in effect.

35. TERMINATION

RightWell may suspend or terminate access to the Platform when reasonably necessary because of:

Material violation of these Terms;
Fraud;
Abuse;
Security concerns;
Nonpayment;
Legal or regulatory requirements; or
Discontinuation of a Service.

Termination of your RightWell Platform account does not automatically terminate an existing Provider-patient relationship.

Providers remain responsible for complying with applicable professional requirements regarding termination of care.

36. CHANGES TO THESE TERMS

RightWell may update these Terms periodically.

When changes are made, the Last Updated date will be revised.

Material changes will be communicated or presented for renewed acceptance when required by applicable law.

37. COPYRIGHT AND TRADEMARK INFORMATION

RightWell names, logos, trademarks, service marks, designs, and other branding may not be used without authorization.

Third-party trademarks remain the property of their respective owners.

38. ENTIRE AGREEMENT

These Terms, together with RightWell's Privacy Policy and any applicable:

Telehealth Informed Consent;
Notice of Privacy Practices;
Subscription disclosures;
Payment authorizations;
Treatment-specific consents; and
Other agreements presented during enrollment,

constitute the applicable agreement governing your use of RightWell Services.

Where a treatment-specific or transaction-specific agreement conflicts with these general Terms, the more specific agreement will control for that subject matter.
