These Terms of Service ("Terms") govern your access to and use of RightWell.com, any RightWell patient portal, websites, applications, communications, products, programs, and related services operated by Prescribey, Inc. d/b/a RightWell ("RightWell," "we," "us," or "our") (collectively, the "Services").

PLEASE READ THESE TERMS CAREFULLY. THEY CONTAIN IMPORTANT INFORMATION REGARDING YOUR LEGAL RIGHTS, REMEDIES, AND OBLIGATIONS, INCLUDING LIMITATIONS OF LIABILITY AND PROVISIONS GOVERNING DISPUTES.

By accessing the Services, creating an account, submitting information, purchasing a product or service, or otherwise using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms.

If you do not agree to these Terms, do not use the Services.

1. About RightWell

RightWell is operated by:

Prescribey, Inc.
d/b/a RightWell

RightWell operates a technology-enabled platform designed to facilitate access to certain health and wellness services.

RightWell may provide technology, administrative, customer-support, payment, coordination, and other non-clinical services.

Healthcare services available through the RightWell platform may be provided by independent physicians, nurse practitioners, physician assistants, professional medical groups, and other appropriately licensed healthcare professionals (collectively, "Healthcare Providers").

Prescription medications, when medically appropriate and prescribed by a Healthcare Provider, may be dispensed by independent licensed pharmacies.

2. RightWell Does Not Control Medical Judgment

Prescribey, Inc. is not responsible for and does not control the independent professional judgment of Healthcare Providers.

Healthcare Providers are solely responsible for clinical decisions, including:

  • Evaluating your medical condition;

  • Determining whether treatment is medically appropriate;

  • Diagnosing medical conditions;

  • Determining whether a prescription is appropriate;

  • Selecting medications and treatment plans;

  • Determining dosage and duration of treatment;

  • Ordering laboratory testing where appropriate; and

  • Monitoring your medical care.

Creating an account, completing a questionnaire, purchasing access to a consultation, paying for a program, or requesting treatment does not guarantee that a prescription will be issued or that any particular treatment will be recommended.

A Healthcare Provider may determine that you are not an appropriate candidate for a particular treatment.

3. Not for Medical Emergencies

RIGHTWELL IS NOT AN EMERGENCY MEDICAL SERVICE.

Do not use RightWell, the patient portal, email, SMS, or other RightWell communication channels for emergency medical needs.

IF YOU BELIEVE YOU ARE EXPERIENCING A MEDICAL EMERGENCY, CALL 911 IMMEDIATELY OR GO TO THE NEAREST EMERGENCY DEPARTMENT.

Do not delay emergency medical treatment while waiting for a response from RightWell or a Healthcare Provider.

4. Eligibility

You may use the Services only if you are legally capable of entering into a binding agreement and otherwise eligible for the applicable Services.

Certain healthcare services may have additional eligibility requirements based on:

  • Age;

  • State of residence;

  • Provider licensure;

  • Medical history;

  • Treatment requested;

  • Pharmacy requirements; or

  • Applicable federal or state law.

Healthcare services are available only in jurisdictions where the applicable Healthcare Provider is authorized to provide those services.

We reserve the right to verify your identity, age, location, and other eligibility information.

5. Your Account

Certain Services may require you to establish an account.

You agree to provide accurate, complete, and current information and to update that information when necessary.

You are responsible for maintaining the confidentiality of your login credentials and for activity occurring through your account.

You may not:

  • Create an account using false information;

  • Impersonate another person;

  • Allow another person to use your account for healthcare services;

  • Attempt to obtain treatment or medication for another person through your account; or

  • Circumvent eligibility, identity-verification, or security procedures.

You must notify RightWell promptly if you believe your account has been accessed without authorization.

6. Accuracy of Medical Information

Accurate information is essential to safe medical care.

You agree that information you provide concerning your health, medical history, medications, allergies, symptoms, identity, and other matters relevant to treatment will be truthful, accurate, complete, and current.

You understand that withholding or providing inaccurate medical information may affect a Healthcare Provider's ability to evaluate you safely and may result in inappropriate treatment or other adverse consequences.

You are responsible for notifying your Healthcare Provider of material changes in your health or medications.

7. Telehealth Services

Telehealth involves healthcare services delivered using electronic communications, including online questionnaires, secure messaging, telephone, video, or other technologies.

Telehealth has potential benefits, including convenience and improved access to care, but also involves limitations and risks.

These may include:

  • Technology failures;

  • Communication delays;

  • Incomplete information;

  • Limitations on physical examination;

  • Privacy and security risks inherent in electronic communications; and

  • Situations where in-person medical care may be more appropriate.

A Healthcare Provider may determine that telehealth is not appropriate for you and may recommend in-person evaluation or other care.

Your use of telehealth services may also be subject to a separate Telehealth Informed Consent.

8. Prescriptions

Prescriptions are issued only when a licensed Healthcare Provider determines, in the provider's independent medical judgment, that a prescription is appropriate.

Payment does not guarantee a prescription.

RightWell cannot require a Healthcare Provider to prescribe any particular medication, dosage, formulation, or treatment.

A provider may:

  • Decline to prescribe medication;

  • Recommend an alternative treatment;

  • Require additional information;

  • Request laboratory testing;

  • Require identification verification;

  • Request an in-person examination; or

  • Discontinue treatment when medically appropriate.

Prescription requirements may vary by state and by medication.

9. Pharmacy Services and Medication Fulfillment

Prescription medications may be dispensed and shipped by independent licensed pharmacies.

The dispensing pharmacy is responsible for pharmacy-related professional services, including dispensing prescriptions in accordance with applicable law.

Medication availability may vary.

Where medically appropriate and legally permitted, a Healthcare Provider or pharmacy may substitute an appropriate medication, formulation, or pharmacy when necessary, subject to applicable law and clinical judgment.

Shipping estimates are estimates only and are not guarantees.

Delays may occur because of:

  • Provider review;

  • Identity verification;

  • Prescription processing;

  • Pharmacy operations;

  • Inventory availability;

  • Weather;

  • Carrier delays;

  • Holidays;

  • Regulatory requirements; or

  • Other circumstances outside RightWell's reasonable control.

10. Medication Information and Risks

All medications may involve risks, contraindications, side effects, and potential drug interactions.

You are responsible for reviewing medication information supplied by your Healthcare Provider and pharmacy and for following your Healthcare Provider's instructions.

Contact your Healthcare Provider or pharmacist if you have questions about your medication.

If you experience symptoms that may constitute a medical emergency, call 911 or seek emergency medical attention immediately.

11. Laboratory Testing

Certain treatment programs may require or recommend laboratory testing.

When laboratory testing is required, continued treatment may depend on completing the requested testing within the required timeframe.

Laboratory services may be provided by independent third-party laboratories.

RightWell is not responsible for the independent professional services, operations, or acts or omissions of third-party laboratories.

12. Pricing and Payment

Prices displayed through the Services may include one or more components, such as:

  • Technology or platform services;

  • Healthcare consultations;

  • Administrative services;

  • Medication;

  • Pharmacy services;

  • Laboratory services;

  • Shipping; or

  • Other program components.

The specific services included in a purchase will be disclosed during the applicable checkout or enrollment process.

You authorize RightWell and its payment processors to charge the payment method you provide for amounts you authorize in connection with the Services.

You represent that you are authorized to use the payment method submitted.

Prices may change from time to time. Unless otherwise stated, price changes will apply prospectively.

13. Recurring Programs and Automatic Renewal

Certain RightWell programs may operate on a recurring or subscription basis.

WHEN YOU ENROLL IN A RECURRING PROGRAM, YOU AUTHORIZE RIGHTWELL OR ITS PAYMENT PROCESSOR TO AUTOMATICALLY CHARGE YOUR SELECTED PAYMENT METHOD AT THE FREQUENCY AND AMOUNT DISCLOSED TO YOU AT ENROLLMENT UNTIL YOU CANCEL OR THE PROGRAM OTHERWISE TERMINATES.

Applicable pricing, billing frequency, renewal terms, and cancellation instructions will be disclosed during enrollment.

You are responsible for maintaining a valid payment method.

You may cancel a recurring program using the cancellation method made available through your account or by contacting RightWell customer support, subject to any timing requirements disclosed during enrollment.

Cancellation prevents future renewals but does not necessarily reverse charges already incurred, services already provided, prescriptions already transmitted, or medications already processed by a pharmacy.

Nothing in these Terms limits cancellation or renewal rights provided by applicable law.

14. Cancellations, Refunds, and Returns

Healthcare services and prescription medications involve special considerations that may affect cancellation and refund eligibility.

Unless otherwise required by law or expressly stated during checkout:

  • Fees for healthcare consultations already completed may be non-refundable;

  • Fees for services already rendered may be non-refundable;

  • Prescription medications generally cannot be returned once dispensed;

  • Orders that have entered pharmacy processing may not be cancellable;

  • Shipping charges may be non-refundable once shipment occurs; and

  • Refund eligibility may depend on the particular service purchased and the status of the order or treatment.

Nothing in this section limits rights that cannot legally be waived.

Any specific refund or cancellation policy presented during checkout or enrollment will also apply to the applicable transaction.

15. Insurance

Unless expressly stated otherwise, RightWell Services may be offered on a cash-pay basis and may not be submitted to or reimbursed by health insurance.

You are responsible for determining whether your health plan provides reimbursement for any Service, medication, laboratory test, or other expense.

RightWell does not guarantee insurance coverage or reimbursement.

16. No Guarantee of Results

Healthcare outcomes vary from person to person.

RightWell and the Healthcare Providers do not guarantee any particular outcome from treatment.

Without limiting the foregoing, no guarantee is made concerning:

  • Weight loss;

  • Amount or speed of weight loss;

  • Improvement in a particular condition;

  • Eligibility for medication;

  • Continued eligibility for medication;

  • Absence of side effects;

  • Medication availability; or

  • Duration of treatment.

Testimonials, examples, reviews, before-and-after information, or descriptions of outcomes experienced by others do not guarantee that you will experience the same results.

17. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, THE RIGHTWELL PLATFORM AND NON-CLINICAL SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.

RIGHTWELL DISCLAIMS WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, TO THE EXTENT SUCH WARRANTIES MAY LAWFULLY BE DISCLAIMED.

RIGHTWELL DOES NOT WARRANT THAT THE PLATFORM WILL ALWAYS BE AVAILABLE, UNINTERRUPTED, SECURE, OR ERROR-FREE.

Nothing in this section is intended to disclaim obligations or warranties that cannot legally be disclaimed.

18. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PRESCRIBEY, INC. AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO YOUR USE OF THE RIGHTWELL PLATFORM OR SERVICES.

TO THE FULLEST EXTENT PERMITTED BY LAW, PRESCRIBEY, INC.'S AGGREGATE LIABILITY ARISING FROM OR RELATING TO THE NON-CLINICAL SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID DIRECTLY TO PRESCRIBEY, INC. FOR THE SERVICE GIVING RISE TO THE CLAIM DURING THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

These limitations do not apply where prohibited by applicable law.

Nothing in these Terms is intended to improperly limit liability for professional medical services where such limitation is prohibited by law.

19. Indemnification

To the extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Prescribey, Inc., its affiliates, officers, directors, employees, contractors, and agents from claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys' fees, arising from or relating to:

  • Your material violation of these Terms;

  • Your misuse of the Services;

  • Fraudulent or unlawful activity conducted through your account;

  • Your infringement of another person's intellectual property or legal rights; or

  • Materially false information knowingly provided by you through the Services.

This provision does not require you to indemnify any party for conduct for which indemnification is prohibited by applicable law.

20. Acceptable Use

You may not use the Services to:

  • Violate applicable law;

  • Commit fraud;

  • Obtain prescriptions through deception;

  • Provide false identity or medical information;

  • Obtain medication for another person;

  • Resell prescription medication;

  • Interfere with the security or operation of the Services;

  • Access another person's account;

  • Introduce malicious software;

  • Scrape or systematically extract content without authorization;

  • Reverse engineer software except where legally permitted;

  • Harass Healthcare Providers, staff, or other users;

  • Infringe intellectual property rights; or

  • Use the Services for another unlawful or abusive purpose.

We may suspend or terminate access when we reasonably believe these Terms have been materially violated, subject to applicable law and continuity-of-care considerations where applicable.

21. Intellectual Property

RightWell.com and its content, software, graphics, designs, logos, text, interfaces, photographs, videos, and other materials are owned by or licensed to Prescribey, Inc. and are protected by applicable intellectual property laws.

RightWell, associated logos, and related marks are trademarks, service marks, trade names, or other proprietary property of Prescribey, Inc. or their respective owners.

Except as expressly permitted, you may not copy, reproduce, modify, distribute, publish, display, create derivative works from, sell, license, or commercially exploit RightWell content without prior written permission.

22. Copyright Infringement and DMCA

RightWell respects intellectual property rights and expects users of its Services to do the same.
